TERMS AND CONDITIONS

Introduction

 

These terms and conditions govern your use of our mobile application, known as the Couples Therapy Assistant (CTA).  By using this app, you accept these terms and conditions in full, as well as the Privacy Policy.  If you disagree with any part of these terms and conditions, you are asked not to use the app, and if you do not comply with these terms, your permission to use the CTA and your access to it may be discontinued.

 

License to use the CTA

 

Unless otherwise stated, Couples Therapy Assistance Delivery LLC owns the intellectual property rights of the content of the CTA, including all source code, databases, functionality, software, text, and graphics as well as the trademarks, service marks, and logos contained therein.  Subject to the license, all these intellectual property rights are reserved.  You may view, download for caching purposes only, and print pages from the app for your own personal use, subject to the restrictions set out below and elsewhere in these terms and conditions. 

 

You must not:

  • reproduce, duplicate, copy or otherwise exploit material on the CTA for a commercial purpose;

  • edit or otherwise modify any material on the app with the intention of further use for commercial gain;

Restricted access

 

Services of the CTA are meant to be used only by therapists and by persons over the age of 18 who are in a relationship with a partner and who are in couples therapy that is conducted by a duly licensed therapist in the United States of America.  Any use of this app by individuals other than those authorized by a licensed therapist is strictly prohibited.

 

By using CTA services, you represent and warrant that all registration information you submit will be true, accurate, current, and complete; and you will maintain the accuracy of such information and promptly update such registration information as necessary.  You agree to keep your user ID and password confidential and will be responsible for all use of your account and password.  Couples Therapy Assistance Delivery LLC or your therapist reserves the right to disable your user ID and password at their sole discretion, with or without notice.

 

Only licensed therapists are permitted to be CTA subscribers, not patients/clients, and it is the therapist who is responsible for maintaining the subscription. If you are a patient/client, your therapist is permitted to charge you for use of the CTA.  Such charges are determined by the therapist and are solely for the therapist’s compensation and use. Couples Therapy Assistance Delivery LLC is not responsible for payment agreements between therapists and clients, and financial disputes must be resolved directly between those parties.

 

Acceptable use

 

You must not use the CTA in any way that causes, or may cause, damage to the CTA or impairment of the availability or accessibility of the CTA; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.  You must not use the CTA to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

 

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to the CTA without the express written consent of Couples Therapy Assistance Delivery LLC.  You must not use the CTA to transmit or send unsolicited commercial communications.  You must not use the CTA for any purposes related to marketing without the express written consent of Couples Therapy Assistance Delivery LLC. 

 

Use of Artificial Intelligence

 

A component of the CTA is the use of Artificial Intelligence (AI) in the form of a Large Language Model (LLM) that has been trained on vast amounts of text data to understand and generate human language.  In this application it is specifically designed to be used for the purpose of helping couples therapy patients to more fully benefit from the services of their therapist.  For this reason, the information provided and responses given by the AI are meant to be related to couples therapy, strategies for improving relationships, and sound mental health.  It is possible that questions asked of or information sought though the AI component of the CTA may not respond satisfactorily to requests for information about other subject matter.  It is recommended that users consult other sources for that information.

 

As a user of the CTA, you agree that you will not hold its designers and developers; the owner of the app; Couples Therapy Assistance Delivery, LLC; or your therapist responsible for any decisions that you make or actions that you take as a result of information or responses provided by the AI component of the CTA.  The AI is intended to be used as a resource for information and support and not to replace your own decision-making process.  AI content is for informational purposes only and is not intended as a substitute for professional advice or mental health services.

 

The resources and assignments provided through the CTA by your therapist are the responsibility of your therapist and not the app owner or administrator.

 

As a user of the CTA, you agree that you will not use any aspect of the CTA for any of these purposes:

  1. To abuse, harass, threaten, impersonate, or intimidate any person.

  2. To post or transmit any content that is libelous, defamatory, obscene, pornographic, offensive or profane.

  3. To conduct any activity that is illegal in the jurisdiction in which it is being used.

  4. To sell, assign, or otherwise transfer your profile or account.

  5. To use the CTA if you are no longer associated with the therapist who authorized its use.

 

We reserve the right to allow advertisers to display their advertisements and other information within the app, such as sidebar advertisements or banner advertisements. We simply provide the space to place such advertisements, and inclusion of advertisements does not imply endorsement, acceptance of responsibility for the actions of the advertisers or use of advertisers’ products, or any relationship between advertisers and Couples Therapy Assistance Delivery LLC.  

 

User content

 

In these terms and conditions, “your user content” means material (including without limitation text, images, audio material, video material and audio-visual material) that you submit to the CTA, for whatever purpose.

 

Couples Therapy Assistance Delivery LLC will not have access to the identity or any user content of patient/client users.  Therapist users grant Couples Therapy Assistance Delivery LLC an irrevocable, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate and distribute their user content in any existing or future media, with the exception of the user content of individual patients/clients.   Therapist users also grant to us the right to sub-license these rights, and the right to bring an action for infringement of these rights.  The user content of both patients/clients and therapists must not be illegal or unlawful, must not infringe any third party's legal rights, and must not be capable of giving rise to legal action whether against you or Couples Therapy Assistance Delivery LLC or your therapist or any other third party (in each case under any applicable law).  

 

No warranties

 

The CTA is provided “as is” without any representations or warranties, express or implied. We make no representations or warranties in relation to the CTA or the information and materials provided on the CTA. We do not warrant that the information is complete, true, accurate or non-misleading.

 

No content on the CTA constitutes advice, mental health counseling, psychotherapy, or any manner of service other than information and clarification. If you require advice in relation to any mental health, legal or financial matter you should consult an appropriate professional.  

 

Limitations of liability

 

We will not be liable to you (whether under the law of contact, the law of torts or otherwise) in relation to the contents of, or use of, or otherwise in connection with, the CTA:

  • for any direct loss;

  • for any indirect, special or consequential loss; or

  • for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.

These limitations of liability apply even if Couples Therapy Assistance Delivery LLC has been expressly advised of the potential loss.

 

Exceptions

 

Nothing in this CTA disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude or limit; and nothing in the CTA disclaimer will exclude or limit Couples Therapy Assistance Delivery LLC’s liability in respect of any:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation on the part of Couples Therapy Assistance Delivery LLC; or

  • a matter which it would be illegal or unlawful for Couples Therapy Assistance Delivery LLC to exclude or limit, or to attempt or purport to exclude or limit, its liability.

  • some jurisdictions may have mandatory consumer protections that may not allow the exclusion of certain liabilities, and in such jurisdictions those protections remain unaffected.

Reasonableness

 

By using the CTA, you agree that the exclusions and limitations of liability set out in the CTA disclaimer are reasonable. If you do not think they are reasonable, you must not use the CTA.

 

Other parties

 

You accept that, as a limited liability company, Couples Therapy Assistance Delivery LLC has an interest in limiting the personal liability of its officers and employees.  You agree that you will not bring any claim personally against our officers or employees with respect to any losses you suffer in connection with the CTA. You agree that the limitations of warranties and liability set out in the CTA disclaimer will protect our officers, employees, agents, subsidiaries, successors, assigns and sub-contractors as well as the company itself.

 

Unenforceable provisions

 

If any provision of the CTA disclaimer is, or is found to be, unenforceable under applicable law, that will not affect the enforceability of the other provisions of the CTA disclaimer.

 

Indemnity

 

You hereby indemnify and undertake to keep Couples Therapy Assistance Delivery LLC indemnified against any losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid to a third party in settlement of a claim or dispute on the advice of our legal advisers) incurred or suffered by the company arising out of any breach by you of any provision of these terms and conditions, or arising out of any claim that you have breached any provision of these terms and conditions.

 

Breaches of these terms and conditions

 

If you breach these terms and conditions in any way, we may take such action as we deem appropriate to deal with the breach, including suspending your access to the CTA, prohibiting you from accessing the CTA, blocking computers using your IP address from accessing the CTA, contacting your internet service provider to request that they block your access to the CTA and/or bringing court proceedings against you.

 

Variation

 

We may revise these terms and conditions from time to time.  Revised terms and conditions will apply to the use of the CTA from the date of the publication of the revised terms and conditions on the Sites.  The date of the latest updates will be indicated when such changes are made.  Please check this page regularly to ensure you are familiar with the current version.

 

Assignment

 

Couples Therapy Assistance Delivery LLC may transfer, sub-contract or otherwise deal with the company’s rights and/or obligations under these terms and conditions without notifying you or obtaining your consent.  You may not transfer, sub-contract or otherwise deal with your rights and/or obligations under these terms and conditions.

 

Severability

 

If a provision of these terms and conditions is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.  If any unlawful and/or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

 

Entire agreement

 

These terms and conditions constitute the entire agreement between you and the Practice in relation to your use of the Sites, and supersede all previous agreements with respect to your use of the Sites.

 

Law and jurisdiction

 

These terms and conditions will be governed by and construed in accordance with the laws of the state of New York, and any disputes relating to these terms and conditions will be subject to the exclusive jurisdiction of the courts of New York.

  • We do not access, collect, store, or share your personal information through the CTA.

Therapists

  • We collect personal information, including name, contact details, license numbers, and payment information, provided voluntarily by you.

  • Personal information must be accurate; false information may result in restricted use of the CTA.

  • You can request data deletion or opt out by contacting us.

Therapist Information Processing Purposes

We process therapist information for the following purposes:

  • Account management and authentication

  • Service delivery and support

  • Administrative updates and feedback collection

  • Service improvement and internal research

  • Compliance with legal obligations

  • Business transfers during mergers or acquisitions

 

Data Confidentiality and Disclosure

 

We aim to keep personal data confidential. Disclosure may occur under the following circumstances:

  1. To protect our rights, users, or the public.

  2. To respond to legal obligations or violations of policies.

  3. During misuse incidents to ensure proper functionality and notify authorities.

 

Third-Party Links and Advertisements

Artificial Intelligence and Machine Learning

You can review, change, or terminate your account at any time. Upon deactivation, we will remove your information from active databases.

 

Jurisdiction and Legal Framework

 

This Privacy Policy is governed by the laws of New York. Disputes will be resolved exclusively in New York courts.

 

Business Transfers

 

In case of a merger or sale, we will notify users about data transfer. You may request data deletion before the transfer.
